These definitions explain key terms used throughout these Terms and Conditions.

• "Service" means the Rexcy web platform and all features available at www.rexcy.in, including the Studio, AI editing tools, and Instagram automation.
• "User" or "You" means any individual or business entity that registers for or uses the Service.
• "Content" means any images, text, data, or other material you upload to, create with, or export from the Service.
• "AI Tools" means AI-powered features within the Service, including image enhancement, AI background generation, product description generation, and Instagram automation.
• "Subscription" means a paid or free plan granting access to specific tiers of the Service: Free, Pro, or Enterprise.
• "Credits" means usage tokens or image-processing units consumed when using the AI Tools.

By creating an account or otherwise accessing the Service, you represent and warrant that you meet the requirements for using Rexcy.

• You are at least 18 years of age.
• You have the legal capacity to enter into a binding agreement.
• If using Rexcy on behalf of a business, you have authority to bind that business to these Terms.
• All information you provide during registration is accurate, current, and complete.
• We may update these Terms and will notify you of material changes by email or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

To access most Rexcy features, you must register an account and keep it secure.

• You agree to provide accurate, current, and complete information and update it as necessary.
• You are responsible for maintaining the confidentiality of your login credentials and all activities under your account.
• You must notify us immediately at support@rexcy.in if you suspect unauthorised access. We are not liable for loss or damage arising from failure to secure credentials.
• Each user may maintain only one account. Creating multiple accounts to bypass limits or restrictions is prohibited and may result in termination.

Rexcy provides an AI-powered image editing and social media automation platform for fashion brands, garment manufacturers, product sellers, and e-commerce creators.

• AI image tools include background removal, object removal using AI inpainting, image enhancement, AI background generation, and 4K upscaling.
• AI content tools include product description generation for titles, descriptions, key features, and SEO keywords based on uploaded images and inputs.
• Social media automation includes Instagram posting and scheduling through the Meta Graph API with AI-generated captions and hashtags.
• We aim to provide 99.5% uptime but do not guarantee uninterrupted availability. We may modify, suspend, or discontinue features with reasonable notice.

Rexcy offers free and paid plans, pay-per-use options, and secure third-party payment processing.

• Free Plan: 5 images per month, basic background removal, 1 project, community support, and no charge.
• Pro Plan: $14.99/month or equivalent in INR, including 100 images/month, all AI tools, unlimited projects, Instagram posting, priority support, and API access.
• Enterprise Plan: $49.99/month or equivalent in INR, including unlimited images, all features, team collaboration, custom integrations, dedicated support, and SLA guarantee.
• Pay-Per-Use may be available at Rs.25 per image where applicable.
• Paid subscriptions are billed monthly or annually in advance and renew automatically unless cancelled.
• Payments are processed through third-party gateways such as Razorpay or Stripe. We do not store raw card details, and fees are exclusive of applicable taxes.
• Plan upgrades take effect immediately and may be prorated. Downgrades take effect next billing cycle. Subscription payments are non-refundable except as required by law, and unresolved failed payments may lead to downgrade or suspension.

You retain ownership of the content you upload, while granting Rexcy limited rights needed to provide the Service.

• You retain full ownership of all images, text, and other materials uploaded to Rexcy and grant us a limited, non-exclusive, royalty-free licence to process, store, and display them solely to provide the Service.
• AI-generated images, descriptions, captions, and other output are provided for your use. You are responsible for reviewing output before use.
• You must not upload content that infringes rights, contains prohibited sexual, violent, hateful, spam, phishing, deceptive, illegal, or non-consensual material.
• All software, designs, logos, trademarks, and proprietary technology of Rexcy are owned by Briston Creator Studio and may not be copied, modified, reverse-engineered, or used to create derivative works without written consent.

Some Rexcy features rely on Instagram, Meta, and third-party AI APIs.

• By connecting Instagram, you authorise Rexcy to publish, schedule, and manage posts on your behalf.
• You confirm that you own or have rights to all content posted through the Service.
• You agree to comply with Meta's Terms of Service and Instagram's Community Guidelines.
• Meta may revoke API access at any time, which may affect feature availability, and we are not responsible for actions taken by Meta or Instagram against your account.
• Certain features are powered by third-party AI APIs such as OpenAI. Their terms may also apply, and we are not liable for third-party output or availability.

You agree not to misuse the Service. Violations may result in immediate suspension or termination without notice or refund.

• Do not automate or script actions in a way that unreasonably loads our infrastructure.
• Do not attempt unauthorised access to the Service or underlying systems.
• Do not scrape, harvest, or extract platform data without written permission.
• Do not resell, sublicense, or commercially exploit the Service without an appropriate Enterprise agreement.
• Do not use the Service to infringe intellectual property rights.
• Do not submit images containing personal data of third parties without consent.
• Do not generate content that could mislead consumers or constitute false advertising.
• Do not interfere with or disrupt the integrity or performance of the Service.
• Violation of this policy may result in immediate suspension or termination of your account without notice or refund.

Pro and Enterprise subscribers may access Rexcy's API subject to additional usage requirements.

• API usage is subject to rate limits published in our documentation.
• You must not share API keys publicly or allow unauthorised use.
• We may revoke API access for misuse or violation of these Terms, and all API output remains subject to the content restrictions in Section 6.

The Service is provided on an as-is and as-available basis, and AI-generated output must be reviewed before use.

• The Service is provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
• AI-generated images, descriptions, and captions may be inaccurate, incomplete, or unsuitable. You are solely responsible for reviewing and approving content before publication or commercial use.
• To the maximum extent permitted by law, Briston Creator Studio is not liable for indirect, incidental, special, consequential, punitive damages, or loss of profits, revenue, data, or business opportunities. Aggregate liability will not exceed amounts paid in the three months preceding the claim.
• You agree to indemnify and hold harmless Briston Creator Studio and its officers, directors, employees, and agents from claims arising from your use of the Service, Your Content, violations of these Terms, or infringement of third-party rights.

Access may be cancelled by you or suspended or terminated by us under the conditions described in these Terms.

• You may cancel your subscription and delete your account through account settings or by contacting support@rexcy.in. Cancellation for paid plans takes effect at the end of the current billing period.
• We may suspend or terminate your account if you breach these Terms or the Acceptable Use Policy.
• We may suspend or terminate your account for unpaid balances over 7 days, legal requirements, court orders, or risks to us.
• Upon termination, your right to access the Service ends immediately. Your Content and processed images will be deleted within 30 days, and we are not liable for termination of access.

These Terms are governed by the laws of India, without regard to conflict of law provisions.

• Disputes are subject to the exclusive jurisdiction of courts located in Coimbatore, Tamil Nadu, India.
• Before legal proceedings, both parties agree to attempt good-faith negotiation for at least 30 days.
• If unresolved, disputes may be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 of India.

These general provisions govern how the Terms operate alongside the Privacy Policy and applicable law.

• These Terms and the Privacy Policy form the entire agreement between you and Briston Creator Studio regarding the Service.
• If a provision is found unenforceable or invalid, it will be limited or eliminated to the minimum extent necessary and the remaining provisions remain effective.
• Failure to enforce any right or provision is not a waiver of that right or provision.
• You may not assign or transfer rights or obligations without written consent. We may assign these Terms in connection with merger, acquisition, or asset sale.
• We are not liable for delays or failures caused by events beyond reasonable control, including acts of God, government actions, internet outages, or third-party service failures such as Meta or Instagram API outages.
• Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Briston Creator Studio.
